These Terms of Use (“Terms”) govern your use of https://lagoon.io (the “Site”) and its related applications, content, products and services, chat areas, bulletin boards, e-mail functions, information such as product, programs, pricing, marketing (the “Content”), and other content or services with which you can upload, download or share information for the purpose of using the Site (collectively, with the Site, “Services”).” These Terms of Use are a legal agreement between you and Lagoon 3D, LLC. (“we” “us” “our” or “Lagoon 3D”).

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO FOLLOW AND BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS CONCERNING YOUR ACCESS TO AND USE OF THE SERVICES (“TERMS”). IN ORDER TO USE THE SERVICES OR ACCESS THE CONTENT, YOU MUST FIRST AGREE TO THESE TERMS. You may not use robots or other automated means to access or crawl this Site or any data on information on the Site, unless specifically permitted in writing by Lagoon 3D. You represent that you are of sufficient legal age to create binding legal obligations for any liability you may incur as a result of your use of this Site.
In addition to the foregoing and in consideration of being allowed to use the Site, you agree that the following actions shall constitute a material breach of these Terms:
• Collecting information about the Site or users of the Site without our written consent or disguising the origin of information transmitted to, from, or through the Site;
• Using any deep-link, page-scrape, robot, crawl, index, spider, click spam, macro programs, Internet agent, or other automatic device, program, algorithm or methodology which does the same things, to use, access, copy, acquire information, generate impressions or clicks, input information, store information, search, generate searches, or monitor the Site or any portion thereof;

Material Submitted by User
For any materials that you submit or upload including, but not limited to, images, photographs, logos, graphics, videos, text, trademarks, slogans, and other materials (collectively, “User Materials”), you grant us a worldwide, non-exclusive, transferable, royalty-free, perpetual irrevocable right and license, with right of sublicense through multiple tiers, to use, reproduce, distribute (through multiple tiers), create derivative works of and publicly display such User Materials solely in connection with the production or provision of any product or service you request or to show you how your User Materials would appear in our products or services and/or to market or advertise products or services to you. Lagoon 3D may sublicense the rights that you grant it in this Section to a third party subcontractor only for purposes of operating the Site, providing the product and services, processing your order, and producing and shipping your products.
Purchases and Third Party Content/Services
You may only use this Site to make legitimate requests to purchase the products or services offered via the Site. Certain Content and Services or goods may be provided from third parties (“Third Party Content” and “Third Party Services”) and may also be made available as part of the Services or through links from the Site. You understand that Lagoon 3D does not manufacture, print, store, or inspect any of the items sold through the Site. We provide the venue to connect you with third party providers and independent sellers. We do not make any warranties about the quality, safety, authenticity completeness, timeliness or legality of products purchased from a Third Party through a Order.
You agree that we are not responsible for Third Party Content accessible through the Services or Third Party Services provided. Any legal claim related to an item you purchase must be brought directly against the seller of such item. You release Lagoon 3D from any claims related to items purchased through your Orders, including for defective items, misrepresentations by third party providers, or items that cause injury or damages.
Refund and Return Policy
Items sold through the Site are custom orders made pursuant to your individual Orders to Third Party suppliers or service providers. Third Party Services provided pursuant to a Order are provided by independent sellers with their own policies regarding refunds, exchanges, and returns. We do not offer refunds on any purchases or Orders made through the Site.
You are responsible for inspecting all orders upon delivery. You must notify us in writing within twenty-four (24) hours of delivery of any discrepancies or if any part of your order is missing, defective, incorrect or damaged (a “Deficiency Notice”). Unless we receive such Deficiency Notice within the 48 hour period following delivery, you will be deemed to have accepted your order and we will have no further responsibility for that Order. If you provide the required Deficiency Notice, we may, in our sole discretion, provide you with a credit of the cost of purchase of the item(s) or services, which may be used for a future Order on the Site. We may require that you return the items of your Order identified in the Deficiency Notice as a condition or receiving any future credit.
User Generated Content
If you believe in good faith that materials appearing on this Site infringe your copyright, you (or your agent) may send us a notice requesting that the material be removed, or access to it blocked. Limitation on Liability
TO THE EXTENT PERMITTED BY LAW, YOU RELEASE LAGOON 3D FROM ALL LIABILITY, COST, DAMAGES, CLAIMS AND EXPENSES (INCLUDING DIRECT, INDIRECT, SPECIAL AND CONSEQUENTIAL LOSS OR DAMAGE WHETHER IN NEGLIGENCE OR OTHERWISE) ARISING OUT OF ASSOCIATED WITH ANY CLAIM ARISING FROM THE CONTENT, SITE, SERVICES, PURCHASES, OR USE OR NON-USE OF THE THIRD-PARTY PRODUCTS OR SERVICES.
Indemnity
You agree to defend, indemnify and hold Lagoon 3D and its respective employees, officers, members, agents and assigns harmless from any and all claims, proceedings, damages, injuries, liabilities, losses, costs and expenses (including reasonable attorneys’ fees and litigation expenses), relating to or arising from your use of the Services, Site or Content or placement of any Order.

Applicable Law
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without resort to any conflict of law principles. Regardless of where you access the Services, you agree that any action at law or in equity arising out of or relating to these Terms or the Services shall be filed and adjudicated only in the federal or state courts located in Toledo, Lucas County, Ohio, and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction and venue of such courts over any suit, action or proceedings arising out of these Terms or use of the Services or Content.
Waiver and Severability
Lagoon 3D’s failure to exercise or enforce any rights or provisions in these Terms shall not constitute a waiver of such right or provision. If any part or provision of these Terms is found to be unenforceable, such part or provision may be modified to make the Terms as modified legal and enforceable without affecting the remainder of the Terms.
Equitable Relief
You agree that a breach of these Terms of Service will cause irreparable injury to Lagoon 3D for which monetary damages would not be an adequate remedy and Lagoon 3D shall be entitled to equitable relief in addition to any remedies it may have hereunder or at law without a bond, other security or proof of damages.
